CORPORATIONS 202

COURSE DESCRIPTION
This is a second year course that explores and analyzes the legal nature and rules of corporation as a unique form of business organization that is distinct from its owner(s). The course surveys the common law rules generally applicable to corporations, but concentrates on the particular rules established by the Business Corporations Act of Liberia.
Particular emphasis is placed on corporate organizations, public and private, spanning the period from their formation to their dissolution; the rights, duties and responsibilities of corporate institutions, shareholders, directors, officers, employees and creditors. This course examines problems surrounding corporate governance, finance, and consolidation, including the regulation of corporate entities by the government. Liberia Corporation Laws and cases are used in conjunction with cases from other common law jurisdictions.
CERTIFICATION
Lorem Ipsum is simply dummy text of the printing and typesetting industry. Lorem Ipsum has been the industry’s standard dummy text ever since the 1500s, when an unknown printer took a galley of type and scrambled it to make a type specimen book. It has survived not only five centuries, but also the leap into electronic typesetting, remaining essentially unchanged.
